Hass has decided to enter into a trust agreement for its own shares worth 10 billion won

Hass (KOSDAQ 450330) announced that, through a board resolution on August 11, 2026, it has decided to enter into a trust agreement for the acquisition of its own shares and has disclosed the relevant key information report. The trustee is NH Investment & Securities, the contract amount is 1 billion won, and the contract period is one year, from August 12, 2026, to August 11, 2027. The purpose of this share buyback is to stabilize the stock price and to reward employees. Based on the closing price of 4,415 won on the day before the board resolution, the number of shares to be acquired is approximately 226,500 common shares. However, the actual number of shares acquired and the acquisition price may vary depending on stock price fluctuations during the trust management period. Prior to the signing of the contract, Hass held 433,278 common shares (5.29% of the issued shares) in the form of physical shares under the trust agreement. This is the same amount as at the base date of January 1, 2026, indicating that no separate acquisitions, disposals, or cancellations occurred during that period. According to the Commercial Code, the maximum amount that can be used for the acquisition of its own shares, based on distributable profits, is approximately 9.177 billion won. As of the end of 2025, the company's net assets, based on its separate financial statements, were approximately 47.47 billion won. This figure is after deducting the amount of its own shares already acquired (approximately 3 billion won) and the amount related to dividend payments (approximately 520 million won). The 1 billion won for this trust agreement will be executed within this limit. One independent director attended the board meeting, and an auditor was also present, ensuring that the procedural requirements for decision-making were met. The company stated that the planned holding period after the acquisition has not been specifically defined and may vary depending on the company's financial condition and market environment.
